BY USING OUR SERVICES, YOU AGREE THAT ANY DISPUTES OR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, INCLUDING ANY DISPUTES OR CLAIMS AGAINST [LEGAL ENTITY TBD] OR ITS AFFILIATES, WILL BE RESOLVED THROUGH BINDING ARBITRATION IN THE STATE OF [STATE TBD]. By engaging Modern Gent, the Client agrees to the terms and conditions outlined herein.
a. Service Relationship: This Agreement establishes a service relationship, not a partnership, joint venture, or fiduciary relationship.
b. Scope of Deliverables: The Services consist of the Authentic Profile Method, a done-for-you, in-person dating-profile service for men: a remote strategy ("story") call; a wardrobe review and in-person styling with a wardrobe Modern Gent brings; an in-person photo session at planned locations; natural editing; two complete photo sets; and a finished dating profile (photo selection and order, bio, and prompts). If the first photo set is not getting the response the Client wants after about two weeks, the second set is swapped in. The photo session may take place where the Client is or where Modern Gent is, as agreed with each Client. The "Deliverable" is the performance of these services, not a specific dating outcome.
c. Client Information and Accounts: The Client is responsible for the accuracy of the information it provides to Modern Gent, and for its own dating app accounts and all activity on them. The dating apps on which the Client uses its profile are operated by third parties and are not part of the Services.
d. Service Modification: Modern Gent reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, without prior notice. Continued use of the Services after any modifications constitutes acceptance of those changes.
Modern Gent may update these Terms from time to time. Changes will be posted on this page with an updated revision date.
By using the Services and accepting these Terms, the Client acknowledges that they have read and agree to Modern Gent's Privacy Policy. The Client consents to the collection, use, and disclosure of its personal information as necessary to provide and improve the Services in accordance with that policy.

a. Client Duty: The Client is solely responsible for how it uses the photos and profile, for compliance with the terms of the dating platforms it uses, and for its own conduct in any interaction with other people.

a. Photos and Profile Content: Ownership of, and usage rights to, the photos and profile content created for the Client, including the Client's license to use them and whether Modern Gent may use images in its portfolio: [PHOTO USAGE RIGHTS TBD]
b. Website Content: All other content and materials presented on the Modern Gent website are protected by intellectual property laws and are owned by Modern Gent or its licensors. The Client agrees not to reproduce, redistribute, or create derivative works from that content, except as expressly permitted.
Results vary. Modern Gent does not guarantee matches, dates, relationships, or any other dating outcome. How other people respond to the Client's profile depends on factors outside Modern Gent's control, including the dating platforms used and the Client's own choices and conduct. Modern Gent does not offer a coaching program or a business opportunity.
a. Limitation of Liability: YOU AGREE THAT [LEGAL ENTITY TBD] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, OR DATA. IN NO EVENT WILL [LEGAL ENTITY TBD]'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU HAVE PAID [LEGAL ENTITY TBD] IN THE LAST SIX (6) MONTHS.
b. Indemnification: The Client agrees to indemnify, defend, and hold harmless [LEGAL ENTITY TBD] and its affiliates from any losses, damages, or costs arising from or related to the Client's use of the Services.
a. Entire Agreement and No Other Representations: These Terms constitute the entire agreement between the parties and supersede any prior agreements, proposals, and discussions. The Client acknowledges that Modern Gent offers no guarantee of matches, dates, relationships, or any other dating outcome, and that no employee, contractor, or other representative of Modern Gent is authorised to make, and the Client is not relying on, any promise or representation as to dating results or outcomes. Any statement made before purchase that conflicts with these Terms is superseded by them.
b. Waiver of Rights: [LEGAL ENTITY TBD]'s failure to enforce any provision of this Agreement shall not constitute a waiver of such right.
c. Assignment: The Client may not assign or transfer its rights or obligations under this Agreement without [LEGAL ENTITY TBD]'s prior written consent.
d. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
